ACTABUILD Application Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ACTABUILD’s website, application, customer portal, project documentation tools, reports, share links, field update tools, and related services.

These Terms are between you and ACTABUILD LLC (“ACTABUILD,” “we,” “us,” or “our”). By creating an account, accessing the application, using our services, submitting project information, uploading files, purchasing a subscription, or accepting these Terms, you agree to be bound by these Terms.

If you are using ACTABUILD on behalf of a company, builder, contractor, owner, or other organization, you represent that you have authority to accept these Terms on behalf of that organization. In that case, “you” and “your” refer to both you personally and the organization you represent.

If you do not agree to these Terms, do not use ACTABUILD.

1. What ACTABUILD Does

ACTABUILD provides construction documentation tools and related services that may include project photos, 360 documentation, field notes, AI-assisted summaries, milestone updates, annotations, issue tracking, reports, project portals, and shareable project records.

ACTABUILD is intended to help builders, contractors, project managers, owners, homeowners, trades, and related users organize and communicate construction documentation.

ACTABUILD is not a licensed contractor, building inspector, engineer, architect, code official, legal advisor, insurance adjuster, or safety consultant unless expressly stated in a separate written agreement.

ACTABUILD documentation is not a substitute for professional inspections, code review, engineering review, safety review, legal advice, contract administration, or construction supervision.

2. Eligibility and Account Registration

You must be at least 18 years old to use ACTABUILD.

You agree to provide accurate, current, and complete account information and to keep that information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify ACTABUILD promptly if you believe your account has been accessed without authorization.

We may refuse registration, suspend access, or terminate accounts if we believe the account has been used in violation of these Terms, applicable law, security requirements, or the rights of others.

3. Customer Responsibilities

You are responsible for the accuracy, legality, and completeness of the information, files, photos, videos, floor plans, site plans, notes, comments, annotations, contact information, and other materials you submit to ACTABUILD.

You represent and warrant that you have all necessary rights, permissions, licenses, approvals, and authority to:

  • Provide project information to ACTABUILD;

  • Upload or share construction photos, videos, plans, drawings, reports, and files;

  • Invite users to access a project;

  • Share project records, reports, links, or documentation with others;

  • Request documentation services at a jobsite or property;

  • Allow ACTABUILD or its representatives to access a property, jobsite, or project area when applicable.

You are responsible for obtaining any required approvals from property owners, homeowners, builders, contractors, tenants, occupants, trades, employees, subcontractors, or other parties before submitting or requesting documentation of a project.

You should not upload or request collection of sensitive personal information unless it is necessary, lawful, and authorized.

4. Project Content

“Project Content” means all content, information, and materials submitted to or generated through ACTABUILD in connection with a project, including photos, videos, 360 images, plans, drawings, notes, audio recordings, transcripts, reports, issue records, comments, tags, annotations, and related documentation.

You retain ownership of Project Content that you submit, subject to the rights granted to ACTABUILD in these Terms.

You grant ACTABUILD a limited license to host, store, copy, process, display, transmit, modify, organize, create summaries from, create reports from, and otherwise use Project Content as necessary to provide, maintain, secure, improve, and support the services.

ACTABUILD will not use private customer Project Content in public marketing materials without permission.

5. Project Access, Users, and Share Links

ACTABUILD may allow you to invite users, assign roles, generate reports, create share links, or make project documentation available to other parties.

You are responsible for deciding who receives access to your projects, reports, downloads, or share links.

Anyone with a valid share link may be able to view the information made available through that link. You are responsible for sharing links carefully and revoking or updating access when appropriate.

ACTABUILD is not responsible for unauthorized access caused by your sharing of login credentials, links, reports, downloads, screenshots, exported files, or project information.

6. Field Documentation Services

If ACTABUILD provides field documentation services, site visits, photography, 360 capture, or related project documentation, the scope of those services will be described in the applicable order, proposal, subscription plan, statement of work, or written agreement.

Unless expressly stated otherwise, ACTABUILD does not guarantee that every condition, defect, issue, code concern, incomplete item, installation detail, safety issue, or construction problem will be photographed, identified, documented, or reported.

Construction documentation depends on access, visibility, timing, lighting, site conditions, project stage, obstruction, safety restrictions, weather, customer instructions, and other factors.

You are responsible for reviewing documentation and determining whether additional inspection, review, correction, or follow-up is needed.

7. AI-Assisted Features, Transcription, and Summaries

ACTABUILD may provide AI-assisted features, including transcription, field-note summaries, issue summaries, report drafting, photo organization, and suggested descriptions.

AI-generated or AI-assisted output may be incomplete, inaccurate, delayed, or misleading. You are responsible for reviewing, editing, verifying, and approving any AI-generated or AI-assisted output before relying on it or sharing it with others.

ACTABUILD does not guarantee that AI features will identify all issues, accurately describe construction conditions, understand trade terminology, detect defects, or produce complete project records.

Do not rely on AI-generated output as a substitute for professional judgment, inspections, construction supervision, code compliance, legal advice, engineering review, or safety review.

8. Plans, Drawings, and Construction Documents

ACTABUILD may allow users to upload floor plans, site plans, drawings, specifications, or other construction documents.

You are responsible for ensuring that uploaded plans and documents are accurate, current, authorized for use, and properly versioned.

ACTABUILD does not verify that plans, drawings, dimensions, annotations, locations, or document versions are accurate or complete.

Any plan pinning, room labeling, issue tagging, or documentation mapping should be treated as an organizational aid, not as a professional design, survey, architectural, engineering, or code-compliance service.

9. Prohibited Uses

You agree not to use ACTABUILD to:

  • Violate any law, regulation, contract, or third-party right;

  • Upload content you do not have permission to use;

  • Misrepresent construction progress, project status, payment status, inspection results, or completion;

  • Harass, threaten, defame, or harm another person;

  • Upload malware, viruses, harmful code, or deceptive content;

  • Attempt to gain unauthorized access to ACTABUILD systems, accounts, projects, or data;

  • Interfere with the security, integrity, performance, or availability of ACTABUILD;

  • Reverse engineer, scrape, copy, or misuse the application except as permitted by law;

  • Use ACTABUILD to store highly sensitive personal information unless expressly authorized in writing;

  • Use the service for unlawful surveillance, unlawful recording, or unauthorized monitoring;

  • Remove, alter, or obscure ACTABUILD branding, copyright notices, or proprietary notices;

  • Resell, sublicense, or commercially exploit ACTABUILD except as expressly authorized.

10. Fees, Subscriptions, Trials, and Billing

Some ACTABUILD services may be offered for a one-time fee, subscription fee, project fee, site-visit fee, usage-based fee, add-on fee, or other charge.

You agree to pay all fees described at checkout, in your order, in your subscription plan, in a signed agreement, or in another written quote or proposal.

If you purchase a subscription, your subscription may renew automatically unless cancelled before the renewal date. The renewal period, price, billing frequency, cancellation process, and any trial terms will be disclosed at checkout or in the applicable order.

If a free trial is offered, you may be charged when the trial ends unless you cancel before the trial period expires.

You authorize ACTABUILD and its payment processors to charge your payment method for applicable fees, taxes, renewals, upgrades, overages, and other amounts due.

You are responsible for keeping billing information current.

ACTABUILD may suspend or limit access for unpaid invoices, failed payments, chargebacks, billing disputes, or overdue amounts.

11. Cancellation

You may cancel your subscription according to the cancellation process provided in your account, checkout materials, order, or written agreement.

Cancellation stops future renewal charges but does not automatically entitle you to a refund for amounts already charged, unless required by law or expressly stated in a written agreement.

After cancellation, your access may continue until the end of the current paid billing period unless otherwise stated.

ACTABUILD may provide a reasonable export or download period after cancellation, but we do not guarantee indefinite access to project data after cancellation or termination.

12. Refunds

Unless otherwise stated in a separate written agreement, all fees are non-refundable.

ACTABUILD may, at its discretion, provide credits, refunds, or adjustments in specific situations. Providing a refund or credit in one case does not require ACTABUILD to provide a refund or credit in another case.

13. Taxes

Fees do not include applicable taxes unless expressly stated. You are responsible for all applicable sales, use, excise, value-added, and similar taxes, except taxes based on ACTABUILD’s income.

14. Third-Party Services

ACTABUILD may use or integrate with third-party services, including hosting providers, cloud storage providers, payment processors, analytics tools, email providers, SMS providers, AI providers, transcription tools, mapping tools, and other vendors.

ACTABUILD is not responsible for third-party services, outages, data handling, errors, security incidents, or terms. Your use of third-party services may be subject to separate terms and privacy policies.

15. Availability and Changes to the Service

ACTABUILD may update, modify, suspend, discontinue, limit, or replace features at any time.

We do not guarantee that the service will be uninterrupted, error-free, secure, or available at all times.

Some features may be released as beta, experimental, early-access, or preview features. These features may be changed or removed at any time and may contain errors.

16. Data Retention and Export

ACTABUILD may retain Project Content and account information for as long as reasonably necessary to provide the services, maintain records, comply with legal obligations, resolve disputes, enforce agreements, support backups, and operate the business.

You are responsible for exporting or downloading any Project Content you need to preserve outside ACTABUILD.

ACTABUILD may delete or restrict access to Project Content after account cancellation, termination, nonpayment, expiration of a share link, or the end of a project retention period.

17. Intellectual Property

ACTABUILD and its licensors own all rights, title, and interest in and to the application, software, platform, workflows, user interface, branding, logos, templates, documentation, designs, systems, technology, and related intellectual property.

These Terms do not transfer any ACTABUILD intellectual property rights to you.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works based on ACTABUILD except as expressly permitted by these Terms or applicable law.

18. Feedback

If you provide suggestions, ideas, comments, feature requests, or other feedback about ACTABUILD, you grant ACTABUILD the right to use that feedback without restriction or compensation to you.

19. Confidentiality

Project Content may include confidential or sensitive business, construction, owner, homeowner, trade, pricing, design, or project information.

ACTABUILD will use reasonable efforts to protect Project Content, but you are responsible for limiting access to authorized users and sharing reports, files, and links carefully.

You agree not to use ACTABUILD to improperly access, disclose, or misuse another party’s confidential information.

20. Privacy

Your use of ACTABUILD is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect information.

By using ACTABUILD, you acknowledge that you have reviewed our Privacy Policy.

21. Disclaimer of Warranties

ACTABUILD is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, ACTABUILD disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and security.

ACTABUILD does not warrant that:

  • The service will be uninterrupted, secure, or error-free;

  • Project documentation will be complete, accurate, or suitable for your specific purpose;

  • AI-generated content will be accurate or complete;

  • Photos, reports, notes, or annotations will identify every issue or condition;

  • Uploaded plans, drawings, or documents are accurate or current;

  • The service will satisfy inspection, legal, insurance, warranty, construction, or code-compliance requirements.

22. Limitation of Liability

To the fullest extent permitted by law, ACTABUILD will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business, loss of goodwill, loss of data, project delays, construction defects, cost overruns, legal disputes, insurance disputes, or substitute services.

To the fullest extent permitted by law, ACTABUILD’s total liability for any claim arising out of or relating to the services or these Terms will not exceed the amount you paid to ACTABUILD for the services giving rise to the claim during the three months before the event giving rise to liability.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

23. Indemnification

You agree to defend, indemnify, and hold harmless ACTABUILD, its owners, employees, contractors, vendors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use of ACTABUILD;

  • Your Project Content;

  • Your violation of these Terms;

  • Your violation of law or third-party rights;

  • Your sharing of project access, reports, downloads, or links;

  • Your failure to obtain required permissions, approvals, or authorizations;

  • Your reliance on ACTABUILD documentation for construction, inspection, legal, safety, insurance, warranty, or code-compliance purposes.

24. Suspension and Termination

ACTABUILD may suspend or terminate your access to the service if we believe:

  • You violated these Terms;

  • You failed to pay amounts owed;

  • Your use creates risk to ACTABUILD, other users, or third parties;

  • Your account may be compromised;

  • We are required to do so by law;

  • Continued access may expose ACTABUILD to legal, security, financial, or reputational risk.

You may stop using ACTABUILD at any time. Cancellation of a paid subscription must be completed through the applicable cancellation process.

25. Governing Law and Venue

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles.

Unless otherwise required by law or agreed in writing, any dispute arising out of or relating to these Terms or ACTABUILD will be brought in the state or federal courts located in Oregon, and the parties consent to the jurisdiction and venue of those courts.

26. Changes to These Terms

ACTABUILD may update these Terms from time to time.

When we make changes, we will update the “Last Updated” date above. If changes are material, we may provide notice through the website, application, email, or other reasonable means.

Your continued use of ACTABUILD after updated Terms become effective means you accept the updated Terms.
